These Terms and Conditions (the “Terms”) govern your access to and use of the websites operated by ACG Insurance Group, LLC, together with its parents, subsidiaries, affiliates, successors, and assigns (collectively, “ACG,” “we,” “our,” or “us”), including withacg.com and any affiliated or successor domains (collectively, the “Sites”). By accessing or using the Sites, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Sites.

1. Acceptance of Terms

By accessing the Sites, you represent and warrant that you are at least eighteen (18) years of age and have the legal authority to enter into these Terms on your own behalf or on behalf of any entity you represent. These Terms constitute a binding legal agreement between you and ACG. ACG reserves the right to modify these Terms at any time by posting an updated version on the Sites. Your continued access to or use of the Sites following the posting of any modification constitutes your acceptance of such modified Terms. It is your responsibility to review these Terms periodically.

2. Permitted Use

Subject to your compliance with these Terms, ACG grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Sites solely for your personal, non-commercial purposes in connection with evaluating, inquiring about, or obtaining insurance products and related services. You may not use the Sites for any purpose that is unlawful, prohibited by these Terms, or harmful to ACG or any third party.

3. Prohibited Conduct

In connection with your use of the Sites, you agree not to:

• submit false, misleading, or fraudulent information in connection with any inquiry, form, or application;
• access, tamper with, or attempt to gain unauthorized access to any portion of the Sites or any systems or networks connected thereto;
• use any automated means, including bots, scrapers, crawlers, or similar technology, to access, collect, or extract information from the Sites without ACG’s express written consent;
• upload, transmit, or distribute any material that contains viruses, malware, or other harmful or disruptive code;
• impersonate any person or entity, including ACG or any ACG representative, or misrepresent your affiliation with any person or entity;
• use the Sites in any manner that could disable, overburden, damage, or impair the Sites or interfere with any other party’s use of the Sites;
• copy, reproduce, modify, distribute, display, perform, or create derivative works of any content on the Sites without ACG’s prior written consent; or
• use the Sites for any commercial solicitation, advertising, or marketing purpose without ACG’s prior written consent.

4. Intellectual Property

The Sites and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of ACG or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The ACG name, logos, and all related names, logos, product and service names, designs, and slogans are trademarks of ACG or its affiliates. You may not use any ACG marks without the prior written consent of ACG. All rights not expressly granted in these Terms are reserved by ACG.

5. No Insurance Coverage Created

Nothing on the Sites constitutes an offer to sell, a solicitation to buy, or a binding commitment with respect to any insurance product or service. Submission of a contact request, quote request, or any other form through the Sites does not create, bind, alter, amend, or terminate any insurance policy or coverage. Coverage is effective only upon issuance of a policy by the applicable insurance carrier and payment of any required premium in accordance with the terms of that policy. Actual coverage, premiums, eligibility, and availability are subject to the specific terms, conditions, exclusions, and limitations of the issued policy and applicable law.

6. Third-Party Content and Links

The Sites may contain links to third-party websites, resources, or services that are not owned or controlled by ACG. ACG has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. ACG does not warrant or endorse the offerings of any third parties or their websites. You acknowledge and agree that ACG shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

7. Disclaimer of Warranties

THE SITES AND ALL CONTENT, MATERIALS, INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES PROVIDED ON THE SITES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ACG EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ACG DOES NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACG, ITS PARENTS, SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITES OR ANY CONTENT THEREON, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ACG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ACG’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITES EXCEED ONE HUNDRED DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES; IN SUCH JURISDICTIONS, ACG’S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless ACG and its parents, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Sites, including but not limited to any content you submit, any use of the Sites’ content, services, or products other than as expressly authorized in these Terms, or your use of any information obtained from the Sites.

10. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to these Terms or your use of the Sites shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any choice-of-law or conflict-of-law rules. You agree that any legal action or proceeding relating to these Terms or the Sites shall be brought exclusively in the federal or state courts located in Hillsborough County, Florida, and you consent to the personal jurisdiction and venue of such courts. Any cause of action you may have with respect to your use of the Sites must be commenced within one (1) year after the claim or cause of action arises, notwithstanding any statute of limitations to the contrary.

11. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect. No waiver by ACG of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by ACG to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

12. Entire Agreement

These Terms, together with ACG’s Privacy Policy, constitute the entire agreement between you and ACG with respect to the Sites and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Sites. In the event of any conflict between these Terms and the Privacy Policy, these Terms shall control with respect to website use, and the Privacy Policy shall control with respect to the collection, use, and disclosure of personal information.
